CHEPLAPHARM announces offering of Senior Secured Notes

Greifswald, Germany—January 23, 2020 – Cheplapharm Arzneimittel GmbH (“we, “us”, or the “Company”) announces that it has launched an offering of 400 million Euros aggregate principal amount of senior secured notes due 2027 (the “Notes”). The Notes are being offered only to qualified institutional buyers in the United States pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and to certain persons outside the United States in reliance on Regulation S under the Securities Act. The interest rate, offering price and certain other terms will be determined at the time of pricing of the Notes, subject to market conditions.

The Company intends to use the proceeds from the offering of the Notes, together with the proceeds of an envisaged incremental 100 million Euro term loan facility under its existing €1,290 million facilities agreement and cash on hand to (i) repay certain existing financial indebtedness under a bridge facility and its revolving credit facility, (ii) pay the purchase price for a portfolio of ten pharmaceutical products it agreed to acquire in November 2019 and (iii) costs and expenses related to the foregoing.
